1. Agreement to these Terms#
These Terms of Service ("Terms") are a binding agreement between you and TREADSTONE COLLECTIVE LLC, a Florida limited liability company ("Treadstone," "we," "us," "our").
They govern your access to and use of the Treadstone Collective website, the intelligence portal at portal.treadstonecollective.com, our email briefs, feeds, APIs, and any related products (together, the "Service").
By creating an account, subscribing, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
Section 18 contains a binding arbitration agreement and a class action waiver. It affects how disputes between us are resolved. Please read it. You may opt out within 30 days as described in Section 18.6.
If you have signed a separate written agreement or order form with us covering the Service, that agreement controls to the extent it conflicts with these Terms.
2. Eligibility#
To use the Service, you must:
- Be at least 18 years old and able to form a binding contract;
- Not be located in, ordinarily resident in, or organized under the laws of any country or territory subject to comprehensive U.S. sanctions, and not be listed on any U.S. government restricted-party list (including OFAC's Specially Designated Nationals list);
- Not be barred from receiving the Service under U.S. or other applicable law.
The Service is not directed to children. We do not knowingly permit anyone under 18 to create an account. If we learn that an account belongs to someone under 18, we will terminate it and delete the associated data.
You are responsible for complying with all laws that apply to you, including export control, sanctions, and local restrictions on accessing intelligence or security-related information.
3. Accounts#
3.1 Registration. You must provide accurate information when you register and keep it current.
3.2 One person per account. Accounts are personal to you. You may not share credentials, allow others to access the Service through your account, or transfer your account to anyone else. If you need access for a team, contact us about a multi-seat arrangement.
3.3 Security. You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately at security@treadstonecollective.com if you suspect unauthorized access.
3.4 Suspension. We may suspend or terminate an account that we reasonably believe is shared, compromised, used in violation of Section 7, or associated with fraudulent payment activity.
4. Subscriptions, Billing, and Cancellation#
4.1 Plans. The Service is offered on paid subscription tiers described on our pricing page. Features, limits, and prices for each tier are as stated at the time you subscribe.
4.2 Automatic renewal. Subscriptions renew automatically. Unless you cancel before the end of your current billing period, your subscription will renew for another period of the same length, and the payment method on file will be charged the then-current rate for your plan. The billing interval, price, and renewal date are disclosed to you before you complete checkout and are shown in your account settings.
4.2.1 Renewal notice for annual plans. If you are on a subscription term of twelve months or longer, we will send you written or electronic notice of the automatic renewal between 30 and 60 days before the cancellation deadline. That notice will state that the subscription will renew unless you cancel and will explain how to cancel.
4.3 Payment. Payments are processed by Stripe, Inc. By subscribing, you authorize us and our payment processor to charge your payment method for all fees, plus any applicable taxes. You represent that you are authorized to use the payment method you provide.
4.4 Cancellation. You may cancel at any time from your account settings in the portal, with no requirement to call, email, or speak to anyone. You may cancel by the same method and means you used to subscribe. Cancellation takes effect at the end of your current billing period. You will keep access until then.
4.5 Refunds. Except where required by law, fees are non-refundable and we do not provide credits or refunds for partial billing periods, unused access, or downgrades. Nothing in this section limits any statutory right of withdrawal or cancellation you may have under the law of your country or state.
4.6 Price changes. We may change subscription prices. We will give you at least 30 days' notice by email before a price change takes effect for your subscription. If you do not want to pay the new price, you may cancel before it takes effect.
4.7 Promotional offers. Free periods, discounts, and promotional codes are subject to their own stated terms, are one-time and non-transferable unless we say otherwise, and cannot be combined unless we say otherwise. Where a promotion provides a free period, your subscription will automatically convert to a paid subscription at the end of that period unless you cancel first. We will remind you by email before the free period ends.
4.8 Failed payment. If a payment fails, we may retry it, suspend access, and ultimately terminate the subscription. You remain responsible for amounts owed.
4.9 Taxes. Prices are exclusive of taxes unless stated otherwise. You are responsible for any sales, use, VAT, or similar taxes, other than taxes on our income.
5. What the Service Is — and What It Is Not#
Read this section carefully. It defines what you are buying.
5.1 What we do. Treadstone collects publicly available information ("open-source intelligence" or OSINT) from news outlets, social platforms, public messaging channels, government publications, academic datasets, and other public sources. We process that material using automated systems — including large language models and other machine learning tools — to produce summaries, briefs, entity profiles, event records, trend reports, and forecasts (together, "Intelligence Content").
5.2 Intelligence Content is machine-generated. Intelligence Content is produced substantially or entirely by automated systems, with limited or no human review before publication. Automated systems make mistakes. Intelligence Content may:
- contain factual errors, mischaracterizations, or fabricated details;
- misattribute statements, events, or actions to people or organizations;
- report events that did not occur, or omit events that did;
- misdate events, including presenting archived or historical material as current;
- reflect the biases, errors, propaganda, or deliberate disinformation present in the underlying sources;
- draw inferences that are not supported by the underlying sources.
We do not warrant the accuracy, completeness, timeliness, or reliability of any Intelligence Content. You must independently verify anything you intend to rely on.
5.3 Not professional advice. Intelligence Content is provided for general informational purposes only. It is not:
- investment, financial, trading, or securities advice. We are not a registered investment adviser, broker-dealer, or commodity trading advisor. Nothing in the Service is a recommendation to buy, sell, or hold any security, commodity, currency, or other asset. Trading and investing involve substantial risk of loss.
- legal, tax, accounting, or compliance advice.
- security, safety, travel, evacuation, medical, or emergency advice.
- a substitute for professional judgment, official government guidance, or qualified expert consultation.
5.4 Not for safety-critical or operational use. You may not use the Service as the basis for decisions where errors could result in death, personal injury, or serious harm — including personal safety decisions, travel or evacuation decisions in active conflict or crisis zones, physical security operations, emergency response, or military or law enforcement targeting. The Service is not designed, tested, or certified for these uses.
5.5 Forecasts and confidence indicators. The Service may present predictions, forecasts, probability estimates, scenarios, or confidence labels (such as HIGH, MODERATE, or LOW). These are automated outputs, not validated statistical probabilities, expert consensus, or guarantees. They describe the model's assessment of the material it processed. They are frequently wrong. Past accuracy does not indicate future accuracy.
5.6 Sources. We do not control, endorse, or verify the third-party sources we monitor. Source coverage changes over time. We may add, remove, or lose access to sources without notice, and this may materially affect the Service.
5.7 No relationship of trust. Your use of the Service does not create a fiduciary, advisory, professional, or confidential relationship between you and Treadstone.
6. License to Use the Service and Its Content#
6.1 Your license. Subject to these Terms and your payment of applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service and to view, download, and print Intelligence Content for your own personal or internal business use during your subscription term.
6.2 What you may not do with Intelligence Content. Except as expressly permitted in Section 6.3, you may not:
- republish, redistribute, resell, syndicate, license, or otherwise make Intelligence Content available to anyone outside your organization;
- share your account, feed URLs, brief emails, or exported content with non-subscribers;
- systematically download, scrape, crawl, or bulk-extract Intelligence Content, including via automated tools, other than through an API we expressly provide to you;
- use Intelligence Content to build, train, fine-tune, evaluate, or improve any machine learning model, language model, or AI system;
- use Intelligence Content to create a product or service that competes with or substitutes for the Service;
- remove, obscure, or alter any attribution, source link, copyright notice, or confidence indicator.
6.3 Limited quotation. You may quote brief excerpts of Intelligence Content (up to approximately 100 words) in non-commercial commentary, academic work, or social media, provided you clearly attribute Treadstone Collective and, where practical, link to us.
6.4 Our intellectual property. The Service, including its software, design, brand, aesthetic, entity graph, methodology, and Intelligence Content, is owned by Treadstone or our licensors and is protected by intellectual property law. Except for the license in Section 6.1, we grant you no rights.
6.5 Third-party rights. Intelligence Content references, summarizes, and links to material owned by third parties. We do not grant you any rights in that underlying third-party material, and your use of it is your responsibility.
7. Acceptable Use#
You agree not to use the Service, or permit anyone else to use it, to:
Harm people
- Identify, locate, track, surveil, profile, or target any individual, or facilitate anyone else doing so;
- Plan, support, incite, or carry out violence, terrorism, armed conflict, kidnapping, or physical harm;
- Harass, stalk, threaten, defame, dox, or intimidate any person;
- Support unlawful surveillance of journalists, activists, dissidents, or political opponents.
Break the law
- Violate any applicable law, including sanctions, export control, anti-corruption, securities, or privacy law;
- Provide the Service or its output, directly or indirectly, to any person or entity in a comprehensively sanctioned territory or on a restricted-party list;
- Engage in insider trading, market manipulation, or any other unlawful trading activity;
- Infringe anyone's intellectual property or privacy rights.
Abuse the Service
- Circumvent access controls, rate limits, paywalls, or authentication;
- Probe, scan, or test the vulnerability of our systems without our prior written permission;
- Introduce malware or interfere with the Service's operation or other users' access;
- Reverse engineer, decompile, or attempt to derive the source code or prompts of the Service, except where that restriction is unenforceable by law;
- Misrepresent Intelligence Content as human-authored analysis, as your own original reporting, or as verified fact.
We may investigate suspected violations, and we may suspend or terminate access immediately and without refund for conduct we reasonably believe violates this section. Where required, we will cooperate with law enforcement.
8. Your Content and Feedback#
8.1 Your content. You may submit content to the Service — bug reports, search queries, saved items, briefing preferences, survey responses, and messages to us ("Your Content"). You retain ownership. You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, and use Your Content solely to operate, secure, support, and improve the Service.
8.2 Feedback. If you send us suggestions, feature requests, or other feedback, you grant us an unrestricted, perpetual, irrevocable, royalty-free right to use it for any purpose without obligation or compensation to you.
8.3 Responsibility. You are responsible for Your Content and represent that you have the rights to submit it. Do not submit classified information, information subject to third-party confidentiality obligations, or personal information about others that you are not permitted to share.
9. Privacy#
Our Privacy Policy explains what personal information we collect and how we use it. By using the Service, you agree to the practices described there.
10. Availability, Changes, and Beta Features#
10.1 No uptime guarantee. We do not commit to any specific level of availability. The Service may be unavailable due to maintenance, upstream provider outages, source access changes, or causes outside our control.
10.2 Changes to the Service. We may add, modify, suspend, or discontinue any part of the Service at any time. If we discontinue a material feature of your paid tier, we will give you reasonable notice and, at our discretion, a prorated refund or plan credit.
10.3 Beta features. Features labeled beta, preview, or experimental are provided as is, may be unstable or removed without notice, and are excluded from any commitment in these Terms.
11. Term and Termination#
11.1 Term. These Terms apply from your first use of the Service until terminated.
11.2 Your termination. You may cancel your subscription and close your account at any time from your account settings.
11.3 Our termination. We may suspend or terminate your access, with or without notice, if you breach these Terms, if we reasonably suspect fraud or unlawful activity, if required by law, or if we discontinue the Service. If we terminate without cause and you have prepaid, we will refund the unused portion of your current billing period.
11.4 Effect. On termination, your license under Section 6.1 ends immediately and you must stop using the Service and destroy any bulk copies of Intelligence Content. Sections 5, 6.2, 6.4, 6.5, 8.2, 12, 13, 14, 15, 16, 17, 18, and 19 survive.
12. Disclaimers#
THE SERVICE AND ALL INTELLIGENCE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, WE MAKE NO WARRANTY THAT:
- INTELLIGENCE CONTENT IS ACCURATE, COMPLETE, CURRENT, VERIFIED, OR FREE FROM ERROR OR FABRICATION;
- FORECASTS, PREDICTIONS, OR CONFIDENCE INDICATORS WILL PROVE CORRECT;
- THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
- ANY DECISION YOU MAKE BASED ON THE SERVICE WILL PRODUCE ANY PARTICULAR RESULT.
YOU USE THE SERVICE AND ANY INTELLIGENCE CONTENT ENTIRELY AT YOUR OWN RISK.
Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the exclusions above apply to the maximum extent permitted, and you may have additional rights.
13. Limitation of Liability#
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
13.1 Excluded damages. TREADSTONE AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, TRADING LOSSES, INVESTMENT LOSSES, BUSINESS OPPORTUNITY, DATA, OR GOODWILL, ARISING FROM OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.
13.2 Cap. OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
13.3 Reliance. THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY, AND APPLY EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. YOU ACKNOWLEDGE THAT THE PRICING OF THE SERVICE REFLECTS THIS ALLOCATION OF RISK AND THAT WE WOULD NOT PROVIDE THE SERVICE ON THESE TERMS WITHOUT IT.
Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, our liability is limited to the maximum extent permitted. Nothing in these Terms limits liability for fraud, willful misconduct, or any liability that cannot lawfully be limited.
14. Indemnification#
You will indemnify, defend, and hold harmless Treadstone and its members, managers, officers, employees, and contractors from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising from or relating to: (a) your use of the Service; (b) your breach of these Terms, including Section 7; (c) Your Content; (d) your violation of any law or third-party right; or (e) any decision or action taken by you or anyone relying on you based on Intelligence Content.
15. Third-Party Services#
The Service integrates with and links to third-party services, including payment processing, email delivery, mapping, and hosting providers, and links out to third-party source material. We are not responsible for third-party services or content, and your use of them is governed by their own terms.
16. Copyright and Takedown#
We respect intellectual property rights. If you believe material accessible through the Service infringes your copyright, send a notice under the Digital Millennium Copyright Act to:

Your notice must include the elements required by 17 U.S.C. § 512(c)(3). We may terminate accounts of repeat infringers.
17. Corrections#
If you believe Intelligence Content contains a material factual error — including an error about you or your organization — contact us at corrections@treadstonecollective.com. We will review it and, where we agree, correct or remove the content. We are not obligated to publish a correction notice or to respond to every request.
18. Dispute Resolution — Arbitration and Class Action Waiver#
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO GO TO COURT AND TO HAVE A JURY TRIAL.
18.1 Informal resolution first. Before starting arbitration, you agree to contact us at legal@treadstonecollective.com with a written description of the dispute and the relief you seek. We will try in good faith to resolve it within 60 days. This step is a precondition to filing arbitration.
18.2 Binding arbitration. If we cannot resolve the dispute informally, any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. The Federal Arbitration Act governs this section.
18.3 Location and costs. Arbitration will be conducted by a single arbitrator. You may elect to proceed by telephone, video, or on written submissions, or in person in the county where you reside. We will pay AAA filing and arbitrator fees to the extent required by AAA's Consumer Rules.
18.4 Class action waiver. YOU AND TREADSTONE EACH WAIVE THE RIGHT TO BRING OR PARTICIPATE IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may award relief only to the individual party seeking it, and only to the extent necessary to provide relief on that party's individual claim. If this waiver is found unenforceable as to a particular claim, that claim will proceed in court and the rest of this Section 18 will remain in effect for all other claims.
18.5 Exceptions. Either party may (a) bring an individual claim in small claims court, and (b) seek injunctive or equitable relief in court to protect intellectual property rights or to stop unauthorized access, scraping, or redistribution.
18.6 Your right to opt out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing legal@treadstonecollective.com with the subject line "Arbitration Opt-Out" and including your name and account email. Opting out will not affect any other part of these Terms.
18.7 Jury trial waiver. Except as prohibited by law, if any dispute proceeds in court, you and Treadstone each waive the right to a trial by jury.
19. Governing Law and Venue#
These Terms are governed by the laws of the State of Florida, without regard to conflict of laws principles. Subject to Section 18, you and Treadstone submit to the exclusive jurisdiction of the state courts located in Broward County, Florida and the United States District Court for the Southern District of Florida.
If you are a consumer resident in the European Union, the United Kingdom, or another jurisdiction whose law grants you the protection of mandatory local consumer rules, nothing in this section deprives you of those protections or of the right to bring proceedings in your country of residence.
20. Changes to These Terms#
We may update these Terms. If we make a material change, we will notify you by email or through the Service at least 14 days before it takes effect. Changes apply prospectively. Your continued use after the effective date means you accept the updated Terms; if you do not, cancel your subscription before then.
21. General#
21.1 Entire agreement. These Terms, the Privacy Policy, and any order form you sign are the entire agreement between us regarding the Service.
21.2 Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
21.3 Severability. If any provision is unenforceable, it will be modified to the minimum extent necessary and the rest will remain in effect.
21.4 No waiver. Our failure to enforce any provision is not a waiver of it.
21.5 Force majeure. Neither party is liable for failure to perform due to causes beyond its reasonable control.
21.6 Notices. We may give notice by email to your account address or by posting in the Service. Notices to us go to legal@treadstonecollective.com.
21.7 Independent contractors. Nothing here creates a partnership, joint venture, agency, or employment relationship.
21.8 U.S. government users. The Service is "commercial computer software" under FAR 12.212 and DFARS 227.7202. Government use is subject to these Terms.
